1. I have read and understood the SEBI (Research Analyst) Regulations, 2014, as amended from time to time, and shall comply with all the provisions of these regulations, as applicable to me, in letter as well as spirit.
2. Applicant and persons associated with research services employed by the Applicant, if any, currently comply with the qualification requirements under regulation 7.
3. The Applicant and persons associated with research services employed by the Applicant, if any, shall comply with the certification and qualification requirements under the regulation 7 at all times including obtaining fresh certification before expiry of existing certification.
4. Applicant has the necessary infrastructure to effectively discharge the activities of Research Analyst.
5. Applicant and persons associated with research services are fit and proper persons based on the following criteria as specified in Schedule II of the Securities and Exchange Board of India (Intermediaries) Regulations, 2008 including but not limited to:
(a) We are persons of integrity, honesty, ethical behaviour, reputation, fairness and character
(b) We have not incurred any of the following disqualifications:
• Criminal complaint or information under section 154 of the Code of Criminal Procedure, 1973 (2 of 1974) has been filed against such person by the Board and which is pending;
• charge sheet has been filed against such person by any enforcement agency in matters concerning economic offences and is pending;
• An order of restraint, prohibition or debarment has been passed against such person by the Board or any other regulatory authority or enforcement agency in any matter concerning securities laws or financial markets and such order is in force;
• Recovery proceedings have been initiated by the Board against such person and are pending;
• An order of conviction has been passed against such person by a court for any offence involving moral turpitude;
• Any winding up proceedings have been initiated or an order for winding up has been passed against such person;
• Such person has been declared insolvent and not discharged;
• Such person has been found to be of unsound mind by a court of competent jurisdiction and the finding is in force;
• Such person has been categorized as a wilful defaulter;
• Such person has been declared a fugitive economic offender; or
• Any other disqualification as may be specified by the Board from time to time.
• We are aware that at the time of filing of an application for registration as an intermediary, if any notice to show cause has been issued against any of us, for proceedings under these regulations or under section 11(4) or section 11B of the Act against the applicant or any other person referred in clause (2), then our application shall not be considered for grant of registration for a period of one year from the date of issuance of such notice or until the conclusion of the proceedings, whichever is earlier.
6. The applicant shall comply with Chapter III of the Regulations.
7. The applicant declares that there are no settled and pending disputes in the last 5 years.
8. Upon receiving approval of Research Analyst License, the Research Analyst shall resign from any other employment/business, if any.
9. No consideration including any commission or referral fees whether embedded or indirect or otherwise by whatever name called shall be received directly or indirectly at Research Analyst’s group or family level for the execution service, as the case maybe.
10. I shall maintain a deposit of such sum, as specified by the Board from time to time.
i. It is duly registered with SEBI as an RA pursuant to the SEBI (Research Analysts) Regulations, 2014 and its registration details are:

ii. It has registration and qualifications required to render the services contemplated under the RA Regulations, and the same are valid and subsisting;
iii. Research analyst services provided by it do not conflict with or violate any provision of law, rule or regulation, contract, or other instrument to which it is a party or to which any of its property is or may be subject;
iv. The maximum fee that may be charged by RA is ₹1.51 lakhs per annum per family of client.
v. The recommendations provided by RA do not provide any assurance of returns.
i. It is not engaged in any additional professional or business activities, on a whole-time basis or in an executive capacity, which interfere with/influence or have the potential to interfere with/influence the independence of research report and/or recommendations contained therein.
Standard Terms of Service
The consent of client shall be taken on the following understanding
“I / We have read and understood the terms and conditions applicable to a research analyst as defined under regulation 2(1)(u) of the SEBI (Research Analyst) Regulations, 2014, including the fee structure.
I/We are subscribing to the research services for our own benefits and consumption, and any reliance placed on the research report provided by research analyst shall be as per our own judgement and assessment of the conclusions contained in the research report.
I/We understand that –
i. Any investment made based on the recommendations in the research report are subject to market risk.
ii. Recommendations in the research report do not provide any assurance of returns.
iii. There is no recourse to claim any losses incurred on the investments made based on the recommendations in the research report.”
